1. Acceptance of Terms

By creating a TownPay account or using any TownPay service, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use TownPay.

2. Eligibility

You must be at least 18 years old to use TownPay. By using our services, you represent that you are of legal age and have the capacity to enter into a binding agreement.

3. Structured Payment Agreements

TownPay is a structured payment agreement system. Funds are secured via payment partners (Stripe, Circle). TownPay controls release logic, not custody. TownPay does not hold, own, or manage funds directly. Funds are released when the buyer confirms delivery, when the auto-release period expires, or by mutual agreement between parties. TownPay is not a bank, escrow agent, or financial institution.

4. Fees

TownPay charges a flat 1.5% fee on each transaction. Fees are disclosed before payment and deducted from the transaction amount at the time of release. We reserve the right to modify fees with 30 days' notice.

5. Prohibited Uses

You may not use TownPay for illegal transactions, money laundering, fraud, sale of prohibited goods, or any activity that violates applicable law. Accounts found to be in violation will be suspended and relevant authorities notified.

6. Disputes

TownPay does not act as an arbitrator. When a dispute is raised, payment release is frozen. Both parties may submit evidence and communicate via the dispute thread. Resolution is achieved only by mutual agreement between both parties. TownPay may apply a predefined auto-resolution rule after a period of inactivity. TownPay is not liable for consequential damages arising from a disputed transaction.

7. Account Termination

You may delete your account at any time from Settings → Danger zone. TownPay may suspend or terminate accounts that violate these terms. Any escrowed funds at the time of termination will be handled in accordance with applicable law.

8. Limitation of Liability

TownPay is provided 'as is'. To the maximum extent permitted by law, TownPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales.

10. Changes to Terms

We may update these terms from time to time. Continued use of TownPay after changes take effect constitutes acceptance of the revised terms. Material changes will be communicated by email.
